Terms and Conditions

This document sets forth the Terms and Conditions ('Terms') governing access to and use of the website, services, and applications offered by OnePool Payments S.L., located at Av. Botánico Cavanilles, 20, 46010 Valencia (Spain), and NIF B22996607 ('OnePool', 'we', 'our').

By accessing and using the Services, you ('User') accept these Terms in full, together with our Privacy Policy and any supplementary policies. If you do not agree with these Terms, do not use the Services.

1. OnePool offers payment solutions allowing the creation and management of group payments ('Pools'), where multiple participants can contribute individually via their preferred payment methods.

2. The Services include:

• • Creation and management of group payments.
• • Checkout integrations for merchants.
• • Secure payment processing via authorized Payment Service Providers ('PSPs').
• • Automatic confirmation of reservations or purchases once the Pool is completed.

3. OnePool acts as a technological intermediary between merchants and contributors. OnePool does not issue electronic money nor directly hold client funds outside the scope of its associated PSPs.

1. To access certain Services, creating an account may be necessary.

2. You agree to provide accurate, complete, and up-to-date information during registration.

3. You are responsible for maintaining the confidentiality of your access credentials and for all activity occurring under your account.

4. OnePool reserves the right to suspend or cancel accounts in cases of misuse, fraud, breach of these Terms, or when required by law.

1. Merchants integrating OnePool into their checkout must follow OnePool's technical documentation and guides.

2. OnePool may modify, suspend, or remove features for technical, legal, or security reasons.

3. Access may be temporarily interrupted for maintenance, updates, or system improvements.

1. By using the Services, you authorize OnePool and its associated PSPs to process individual payments and consolidate them according to Pool rules.

2. You warrant that you are the legitimate holder of the payment methods used and are legally entitled to use them.

3. PSPs may apply security verifications, including Strong Customer Authentication (SCA) under PSD2 or other applicable regulations.

1. Payments are processed through third-party PSPs (e.g., Stripe, Adyen, or other authorized providers).

2. OnePool does not store full card data.

3. Transaction confirmation is subject to PSP authorization and effective receipt of funds.

4. Merchants will only receive confirmation when all Pool participants have contributed successfully.

1. OnePool may charge service fees, transaction commissions, or other applicable costs, which will be communicated to merchants prior to application.

2. Fees may be automatically deducted from processed transactions.

1. Once the Pool is completed and the transaction confirmed, it cannot be canceled, except where required by law or expressly authorized by the merchant.

2. Refunds, when applicable, will be processed to each contributor via the same payment method originally used, in coordination with the PSP.

3. Refund timeframes may vary depending on the issuing bank or PSP.

You agree to:

• • Not use the Services for fraudulent, illegal activities or those infringing rights.
• • Not manipulate, interfere with, or attempt to gain unauthorized access to restricted system areas.
• • Comply with all applicable regulations regarding payments, data protection, and consumer rights.

OnePool reserves the right to:

• • Reject or block suspicious transactions.
• • Suspend or permanently cancel accounts breaching these Terms.
• • Perform technical audits of merchant checkout integrations.

1. OnePool shall not be liable for:

• • Failures attributable to PSPs, banks, or third parties.
• • Indirect damages, loss of profits, or data loss.
• • Delays in payment processing beyond its control.

2. OnePool's maximum liability is limited to the total amount of service fees charged for the transaction giving rise to the claim, except in cases of fraud or gross negligence.

1. All website content, documentation, software, trademarks, and logos are owned by OnePool or licensed third parties.

2. You may not copy, distribute, reproduce, or commercially exploit such content without prior written authorization.

1. Personal data will be processed in accordance with OnePool's Privacy Policy.

2. Users may exercise their rights of access, rectification, erasure, objection, portability, and restriction by contacting legal@onepool.com.

1. Both OnePool and Users agree to keep confidential all technical, financial, or commercial information accessed during the contractual relationship.

2. This obligation shall subsist after termination of the relationship.

OnePool may update these Terms at any time. Updates will be published on the website and effective upon posting. Continued use of Services after updates implies acceptance of new Terms.

1. These Terms are governed by Spanish law.

2. For any dispute arising from these Terms, parties submit to the exclusive jurisdiction of the courts of Valencia, Spain, unless mandatory consumer protection rules provide otherwise.
